Internal Use Terms / End-User License Agreement

KWH Manufacturing ERP is an internal business system for authorized Knox Wire Harnesses, LLC personnel and approved service providers. It is not offered for sale or public registration.

1. Scope and authorized users

These End-User License and Internal Use Terms ("Terms") govern access to KWH Manufacturing ERP (the "System"), operated for the internal business activities of Knox Wire Harnesses, LLC ("KWH" or "Company"). Access is limited to personnel or contractors expressly authorized by KWH. Access to the System does not grant any ownership or right to distribute it.

2. Permitted business uses

Authorized users may use the System solely for their assigned company duties, including manufacturing planning, scheduling, inventory, receiving, purchasing, shipping, invoicing preparation, and financial analysis, as the relevant modules are enabled by KWH.

3. Accounts and security

Use only an account assigned or approved by KWH; do not share credentials.
Follow company access policies and promptly report suspicious activity, unauthorized access, or lost devices.
Do not bypass security controls, alter records without authorization, or access information outside your job responsibilities.
KWH may restrict or revoke access when duties change or employment or authorization ends.

4. Company records and accuracy

Records entered into or displayed by the System are company business records. Users must verify critical quantities, costs, shipments, accounting reports, and customer details before acting on them. Features may be under testing or phased deployment; a page displaying data does not, by itself, mean the data has been reconciled or approved.

Unless KWH expressly changes its accounting policy, QuickBooks remains the authoritative accounting ledger for posted financial transactions, and the System's operational reports do not replace official books or professional accounting review.

5. QuickBooks and other integrations

With company authorization, the System may access QuickBooks Online, Google Workspace, and other approved tools for company purposes. Use of those services is also subject to the applicable provider's terms. Connecting an account authorizes the specific integration functionality enabled by KWH; it does not independently authorize users to post transactions or disclose company data.

6. Confidentiality and acceptable use

Company, customer, supplier, employee, manufacturing, and financial information accessed through the System must be treated according to KWH policies and applicable confidentiality duties. Do not export or share such information except as required and authorized for business purposes. The System must not be used for unlawful conduct or personal commercial activities.

7. Changes, availability and limitations

KWH may update, temporarily suspend, or discontinue functions of the System for operations, maintenance, security, or legal reasons. The System may contain errors or incomplete information during development. KWH personnel should follow approved backup procedures and other business-continuity processes for important records.

8. Ownership

KWH and its licensors retain their applicable rights in the System and its materials. Nothing in these Terms transfers rights in third-party software, including QuickBooks or Google services.

9. Governing company policies

These Terms supplement, and do not replace, applicable employment agreements, company policies, contractual duties, or laws. If they conflict, those more specific obligations control to the extent legally required. KWH may update these Terms with an amended date.
